Welcome to Omnistrat Media. By entering this digital domain or engaging our services, you enter into a binding agreement with Omnistrat Media (“Omnistrat,” “we,” “our,” or “us”). These Terms & Conditions govern all access, engagement, and service relationships unless superseded by a separately executed written agreement.

1. Scope of Engagement

Omnistrat Media provides strategic advisory, media planning, marketing execution, campaign management, analytics, and related professional services. Each engagement is defined by a written proposal, statement of work, or service agreement (“Service Agreement”).

No obligation exists beyond what is expressly stated in a Service Agreement. Silence shall not be construed as commitment.

2. Acceptance of Terms

By accessing our website or engaging our services, you affirm that you:

  • Possess legal authority to enter agreement

  • Act on behalf of a valid individual or entity

  • Accept these Terms without limitation or qualification

If you do not accept these Terms, access and use must cease.

3. Professional Standard of Care

Omnistrat Media performs services with commercially reasonable skill, diligence, and strategic judgment consistent with industry best practices. We do not promise outcomes — we deliver expertise, execution, and stewardship.

Marketing outcomes remain subject to market forces, platform dynamics, audience behavior, and economic conditions beyond our control.

4. Client Duties & Representations

Clients agree to provide, without delay:

  • Accurate information and materials

  • Lawfully obtained content and data

  • Timely approvals and decisions

  • Access credentials when required

  • Budget funding where applicable

Client warrants that all provided assets do not infringe intellectual property, privacy, or publicity rights. Responsibility for supplied materials rests entirely with the client.

Delays in client action extend timelines accordingly.

5. Fees, Billing & Financial Terms

Fees are defined within the Service Agreement and may include retainers, project fees, advisory fees, or performance-based structures.

Unless otherwise stated:

  • Invoices are due upon receipt or within stated terms

  • Late balances may accrue interest

  • Services may pause without notice for non-payment

  • Deposits are non-refundable

  • Work commenced is billable

Advertising spend, platform fees, and third-party costs are separate unless explicitly included.

6. No Performance Guarantees

While our methods are deliberate and data-guided, Omnistrat Media makes no guarantee regarding:

  • Revenue or profit outcomes

  • Lead volume or cost efficiency

  • Conversion rates

  • Audience behavior

  • Platform approval or distribution

Any projections are directional, not promises.

7. Intellectual Property & Strategic Capital

Omnistrat retains ownership of:

  • Proprietary methodologies

  • Strategic frameworks

  • Internal tools and models

  • Analytical structures

  • Optimization systems

Clients retain ownership of their brand and supplied materials.

Upon full payment, deliverables created specifically for the client may be used by the client, excluding Omnistrat’s underlying intellectual capital.

We reserve the right to reference non-confidential work in portfolios and credentials.

8. Platform & Third-Party Dependency

Campaigns and activations may rely upon third-party platforms and vendors. Omnistrat Media is not liable for:

  • Platform outages

  • Policy shifts

  • Account suspensions

  • Algorithmic changes

  • Inventory availability

  • Ad rejection decisions

Platform governance supersedes campaign intent.

9. Confidentiality

All non-public business, financial, and strategic information exchanged shall be treated as confidential and used solely for service execution.

This obligation survives termination.

10. Limitation of Liability

To the fullest extent permitted by law, Omnistrat Media shall not be liable for:

  • Indirect damages

  • Consequential loss

  • Lost profits

  • Market losses

  • Brand impact

  • Opportunity cost

Maximum liability shall not exceed the total professional fees paid to Omnistrat within the prior ninety (90) days.

11. Indemnification

Client agrees to defend and indemnify Omnistrat Media against claims arising from:

  • Client-provided materials

  • Regulatory violations

  • False advertising claims

  • Intellectual property infringement

  • Data misuse

12. Termination

Either party may terminate according to Service Agreement terms. Upon termination:

  • All outstanding invoices become due

  • Work completed remains billable

  • Licenses granted upon payment survive

  • Confidentiality survives indefinitely

13. Force Majeure

We are not liable for delay or failure caused by events beyond reasonable control, including acts of government, infrastructure failure, labor disruption, or force majeure events.

14. Governing Law

These Terms are governed by the laws of [Insert Jurisdiction], without conflict-of-law principles.

15. Modifications

Terms may evolve. Continued use signifies acceptance of the current version.
